Compensation in the Event of Termination. (a) In the event of termination, COMPANY will determine and pay (subject to valid set offs) the amounts owed to CONTRACTOR for SCOPE properly performed prior to termination, less any costs or damages incurred by COMPANY as a result of CONTRACTOR’s default, breach or termination, including any increased costs to complete CONTRACTOR’s SCOPE. (b) If COMPANY terminates the CONTRACT “for convenience” or CONTRACTOR validly terminates for non-payment, COMPANY will also pay reasonable, unavoidable, and auditable demobilization costs that COMPANY has specifically agreed elsewhere in the CONTRACT to pay on termination for convenience by COMPANY. CONTRACTOR waives its right to recover any other costs, including but not limited to any profit or additional costs with respect to the terminated or reduced SCOPE.
