Compensation; No Employment. (a) Each Director and Alternate Director shall be reimbursed for his or her reasonable out-of-pocket expenses incurred in the performance of his or her duties as a Director or Alternate Director, as applicable, pursuant to such policies as from time to time established by the Board. Nothing contained in this Section 8.8 shall be construed to preclude any Director or Alternate Director from serving the Company in any other capacity and receiving reasonable compensation for such services.
