Common use of Compensation of Directors; Expense Reimbursement Clause in Contracts

Compensation of Directors; Expense Reimbursement. Directors that are also Officers of the Company or employees of any of the Members or its Affiliates shall not receive any stated fee for services in their capacity as Directors; provided, however, that nothing herein contained shall be construed to preclude any Director from serving the Company or any Subsidiary in any other capacity and receiving compensation therefor. Directors that are not also Officers of the Company or employees of any of the Members or its Affiliates may receive a stated compensation for their services as Directors, in each case as determined from time to time by the Board of Directors.

Directors that are also Officers of the Company or employees of any of the Members Stockholders or its their Affiliates shall not receive any stated fee for services in their capacity as Directors; provided, however, that nothing herein contained shall be construed to preclude any Director from serving the Company or any Subsidiary in any other capacity and receiving compensation therefor. Directors that are not also Officers of the Company or employees of any of the Members Stockholders or its their Affiliates may receive a stated compensation salary for their services as Directors, in each case as determined from time to time by the Board of Directors. Directors shall be reimbursed by the Company for any reasonable out-of-pocket expenses related to attendance at each regular or special meeting of the Board of Directors subject to the Company’s requirements with respect to reporting and documentation of such expenses.
