Common use of Compensation of Trustees, Officers and Employees Clause in Contracts

Compensation of Trustees, Officers and Employees. No Director, officer or employee of the Fund shall receive from the Fund any salary or other compensation as such Director, officer or employee while he is at the same time a director, officer, or employee of TAM, a sub-adviser or principal underwriter, or affiliate of any of the foregoing, or a consultant, independent contractor or other person who receives remuneration or other benefits from any of the foregoing, except as the Board may decide.

This paragraph shall not apply to Directors, executive committee members, consultants and other persons who are not regular members of the Sub-adviser’s or any affiliated company’s staff.
