Compensation on Termination of Employment. (Except Within Two Years Following a Change of Control). This Section 5 shall apply to termination of the Executive's employment during the Term and prior to a Change of Control (as hereinafter defined in Section 6) and to termination of the Executive's employment more than two (2) years following a Change of Control.
