Compensation, Reimbursement and Indemnification. The Company agrees to pay the Warrant Agent from time to time reasonable compensation relating to its services hereunder as set forth in a mutually agreed upon fee schedule and to reimburse the Warrant Agent for reasonable and documented out-of-pocket expenses and disbursements, including reasonable and documented counsel fees incurred in the preparation, delivery, negotiation, amendment, administration and execution of this Agreement and the exercise and performance of its duties hereunder. The Company further agrees to indemnify the Warrant Agent and its employees, officers and directors, and to hold such Persons harmless against, any and all loss, liability, damage, judgment, fine, penalty, claim, demand, settlement and reasonable and documented out-of-pocket cost or expense (including, without limitation, the reasonable and documented fees and expenses of legal counsel) that may be paid, incurred or suffered by any such Person, or to which any such Person may become subject, without gross negligence, bad faith, fraud or willful misconduct on the part of the Warrant Agent (which gross negligence, bad faith, fraud or willful misconduct must be determined by a final, non-appealable judgment of a court of competent jurisdiction), for any action taken, suffered, or omitted to be taken by the Warrant Agent in connection with the execution, acceptance, administration, exercise and performance of its duties under this Agreement, including the reasonable and documented out-of-pocket costs and expenses of defending against any claim of liability arising therefrom, directly or indirectly, or enforcing its rights hereunder. The provisions under this Section 10 concerning the rights and immunities of the Warrant Agent shall survive the expiration of any Warrant and the termination of this Agreement and the resignation, replacement or removal of the Warrant Agent.

(a) to pay to the Warrant Purchase Contract Agent compensation for all services rendered by it hereunder as the Company and the Purchase Contract Agent shall from time to time agree in writing;

The Company further agrees agents and counsel), except any such expense, disbursement or advance as may be determined to have been caused by the Purchase Contract Agent’s own gross negligence, willful misconduct or bad faith; and
(c) to indemnify the Warrant Purchase Contract Agent and its employees, officers any predecessor Purchase Contract Agent and directorstheir respective agents and representatives for, and to hold such Persons them harmless against, any and all loss, liability, damage, judgment, fine, penalty, claim, demand, settlement and reasonable and documented out-of-pocket cost liability or expense (including, without limitation, the reasonable and documented fees and expenses of legal counsel) that may be paid, incurred or suffered by any such Person, or to which any such Person may become subject, without gross negligence, bad faith, fraud or willful misconduct or bad faith on the part their part, arising out of the Warrant Agent (which gross negligence, bad faith, fraud or willful misconduct must be determined by a final, non-appealable judgment of a court of competent jurisdiction), for any action taken, suffered, or omitted to be taken by the Warrant Agent in connection with the execution, acceptance, administration, exercise and performance acceptance or administration of its the Purchase Contract Agent’s duties under this Agreementhereunder, including the reasonable and documented out-of-pocket costs and expenses of defending itself against any claim (whether asserted by the Company, a Holder or any other person) or liability in connection with the exercise or performance of liability arising therefrom, directly any of its powers or indirectly, or enforcing its rights duties hereunder. The Company also agrees to indemnify the reasonable Warrant Agent and documented out-of-pocket save it harmless against any and all losses, liabilities, including judgments, costs and expenses reasonable counsel fees, for any action taken, suffered or omitted by the Warrant Agent in the performance of defending against any claim of liability arising therefrom, directly or indirectly, or enforcing its rights hereunder. The indemnity provided herein shall survive the expiration of any Warrant and the termination of this Agreement and the resignationtermination and expiration of the Warrants. Anything to the contrary notwithstanding, replacement in no event shall the Warrant Agent be liable for special, punitive, indirect, consequential or removal incidental loss or damage of any kind whatsoever (including lost profits), even if the Warrant Agent has been advised of the likelihood of such loss or damage. Any liability of the Warrant Agent under this Agreement, except in the event of the Warrant Agent's gross negligence or willful misconduct, will be limited to the amount of fees paid by the Company to the Warrant Agent.
