Common use of Compensation, Reimbursement and Indemnification Clause in Contracts

Compensation, Reimbursement and Indemnification. The Company agrees to pay the Warrant Agent reasonable compensation for the Warrant Agent's service hereunder as the Company and the Warrant Agent may agree and to reimburse the Warrant Agent for all reasonable expenses and disbursements (including reasonable counsel fees and expenses) incurred in connection with the execution and administration of this Agreement. The Company further agrees to indemnify the Warrant Agent for and save it harmless against any losses, liabilities or reasonable expenses arising out of or in connection with the acceptance and administration of this Agreement, including the reasonable costs, legal fees and expenses of investigating or defending any claim of such liability, except that the Company will have no liability hereunder to the extent that any such loss, liability or expense results from the gross negligence, bad faith or willful misconduct of the Warrant Agent and the Warrant Agent's officers, directors, employees and agents.
