If the Company terminates the Executive’s employment hereunder without “Cause,” the Company shall pay the Executive a severance payment equal to twelve (12) months of his Base Salary then in effect (paid as salary continuation for the twelve months following the notice of termination), plus the pro-rata portion of the target bonus determined pursuant to Section 5.2(c)(iii).
