Compensation Upon Termination for Death or Disability. If the Executive's employment is terminated by his death under Section 5.1 or disability under Section 5.2, the Company shall pay to the Executive, his spouse or his estate, as applicable: (i) the incentive compensation to which he is entitled under this Agreement through the Date of Termination; (ii) the Executive's Base Salary as in effect on the Date of Termination, for a period of two years following the Date of Termination, and (iii) the cost of health insurance benefits for the Executive and his family for a period of 18 months following the Date of Termination.
