COMPENSATION UPON TERMINATION OR NON-RENEWAL BY THE COMPANY OTHER THAN FOR CAUSE. If the Employee's employment shall be terminated (i) by act of the Company other than for Cause, or (ii) upon expiration of the Term and the Company fails to offer to renew the Employee's employment pursuant to this Agreement on the same terms and conditions, except by reason of "Cause", the Employee shall be entitled to the following benefits:
