Compensation Upon Voluntary Termination. If the Executive shall resign (including by retirement) and voluntarily terminate employment without Good Reason, the Bank shall pay to the Executive the Executive’s accrued and unpaid salary, accrued and unpaid vacation pay and all rights and benefits that the Executive is entitled to receive under the terms of the Bank’s benefit plans or arrangements, including the Executive’s rights under any Supplemental Executive Retirement Plan and Joint Beneficiary Designation Agreement (upon death) in effect between the Bank and the Executive (the “Accrued Obligations”).
