Common use of Competing Interests Clause in Contracts

Competing Interests. Neither the Selling Persons, nor any director, manager, officer or management-level employee of Seller, nor any Affiliate of the Selling Persons (each, a “Related Party”): (a) owns, directly or indirectly, an interest in any Person that is a competitor, customer or supplier of Seller (in respect of the Business) or that otherwise has material business dealings with Seller (in respect of the Business); or (b) is a party to, or otherwise has any direct or indirect interest opposed to Seller under, any Business Contract or other business relationship or arrangement.

Competing Interests. Neither Seller, any director or officer of Seller, any Affiliate of Seller or to the Selling PersonsKnowledge of Seller, nor any director, manager, officer manager or management-management level employee of Seller, nor any Affiliate of the Selling Persons Seller (each, a “Related Party”): (a) owns, directly or indirectly, an interest in any Person that is a competitor, customer or supplier of Seller (in respect of the Business) or that otherwise has material business dealings with Seller (in respect of the Business); or (b) is a party to, or otherwise has any direct or indirect interest opposed to Seller under, any Business Contract or other business relationship or arrangement.

Seller (in respect of the Business); or (b) is a party to, or otherwise has any direct or indirect interest opposed to Seller under, any Business Contract or other business relationship or arrangement.
