Common use of Competing Interests Clause in Contracts

Competing Interests. Except as set forth in Schedule 2.19, the Selling Person and any director, manager, officer or management-level employee of Seller, or any Affiliate of the Selling Person (each, a “Related Party”): (a) do not own, directly or indirectly, an interest in any Person that is a competitor, customer or supplier of Seller (in respect of the Business) or that otherwise has material business dealings with Seller (in respect of the Business); or (b) are not parties to, or otherwise have any direct or indirect interest opposed to Seller under, any Business Contract or other business relationship or arrangement.
