Common use of Complete Agreement, Severability, Captions, and Survival Clause in Contracts

Complete Agreement, Severability, Captions, and Survival. You agree that this Agreement, your Digital Banking Services Agreement, and the applicable portions of your Deposit Account Agreement and fee schedule constitute the complete and exclusive statement of the agreement between us, sets forth the entire understanding between us and you with respect to the Service and the portion of the Site through which the Service is offered and supersedes any proposal or prior agreement, oral or written, and any other communications between us. In regard to the Service and the portion of the Site through which the Service is offered, this Agreement governs over any conflicting terms in your Digital Banking Service Agreement or your Deposit Account Agreement. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The captions of Sections in this Agreement are for convenience only and shall not control or affect the meaning or construction of any of the provisions of this Agreement. All terms which by their nature should survive shall survive the termination of this Agreement Including but not limited to those Sections entitled “Service Providers,” “Assignment,” “Notices to You,” “Privacy of Others,” “Taxes,” “Failed or Returned Payment Instructions,” “Intellectual Property,” and “Remedies” through the end of this Part D.) If there is a conflict between the terms of this Agreement and something stated by an employee or contractor of ours (including but not limited to its customer care personnel), the terms of the Agreement will prevail.

The terms and conditions of this Access Agreement, your Account Agreement and the rules, regulations, schedule, signature card, including any disclosures made pursuant to such agreements, and any subsequent amendments to any of the foregoing, are incorporated in this Agreement governs over any conflicting terms in your Digital Banking Service Agreement or your Deposit Account Agreementby reference.
