AIDEA’s representations and warranties in Article 3 of this Agreement, AIDEA’s disclosures in the Disclosure Schedules to this Agreement or in any supplement to the Disclosure Schedules, and any certificate or document delivered to IGU at the Closing by or on behalf of AIDEA, do not and will not contain any untrue statement of material fact or omit to state a material fact necessary in order to make any of them misleading. AIDEA does not have Knowledge of any fact that has specific application to any of the Acquired Companies (other than general economic or industry conditions) that may have a Material Adverse Effect on the assets, businesses, or financial conditions of Pentex, Fairbanks Natural Gas, LLC, Titan Alaska LNG, LLC, or Arctic Energy Transportation, LLC that has not been set forth in this Agreement or in the Disclosure Schedules to this Agreement, or that will not be set forth in a supplement to the Disclosure Schedules.
