Common use of Complete Defense Clause in Contracts

Complete Defense. Each Party agrees that this Agreement may be pleaded as a full and complete defense to, and may be used as a basis for an injunction against, any action, suit or other proceeding which may be instituted, prosecuted or attempted in respect of a matter which has been released pursuant to this Section 9 by it or any other Releasing Party.

Complete Defense. Each Party agrees The parties expressly understand and agree that this Agreement may be pleaded pled as a full and complete bar in defense to, and may be used as a basis for an injunction against, of any action, suit action or other proceeding which may be instituted, prosecuted or attempted in respect of a matter which has been released pursuant to this Section 9 instituted by it or any other Releasing Partyparty or on any other party’s behalf or right, arising out of the matters described in Section 8 which form the basis for the present dispute between the parties, and that any such suit shall be dismissed with prejudice at the cost of the party filing the lawsuit.
