Complete Understanding; Modification. This Agreement constitutes the complete and exclusive understanding and agreement of the parties and supersedes all prior or contemporaneous understandings, negotiations, representations, proposals, and agreements, whether written or oral, with respect to the subject matter of this Agreement. Any waiver, modification or amendment of any provision of this Agreement will be effective only if in writing and executed by the parties to this Agreement.
