Common use of Completeness of Statements Clause in Contracts

Completeness of Statements. Each Seller has disclosed to Buyer in writing all material facts known to it relating to the representations and warranties of such Seller made in this Agreement. No representation, warranty or covenant of either Seller in this Agreement contains any untrue statement of a material fact, any misstatement of a material fact or omits to state a material fact necessary to make the statements herein or therein not misleading when taken as a whole.
