Completion Documents. In addition to each and every other condition hereof, upon completion of the construction of the Project, Lender will be furnished with the following documents:
Completion Documents. 2 Section 1 Because the premiums for the Operational Insurances are a pass-through cost, the Authority will need an estimate of the likely costs of the first year Operational Term policies for its final business case. Provision has been made for the SPV to provide that estimate at Financial Close.
Completion Documents. Upon the completion of the hotel, the Lessee shall deliver to the Lessor each of the following:
(i) A certificate of completion by the architect who supervised the construction, which will state that all work has been completed in accordance with the approved plans and specifications.
(ii) A certificate of occupancy, or any equivalent permit or certificate from Pulaski County, Arkansas indicating the hotel is complete and ready for occupancy by the general public.
(iii) A survey of the Leased Property, showing the completed hotel and parking facilities, indicating that there are no encroachments by either on any adjoining premises.
Completion Documents. (a) The Vendor wishes to transfer and the Purchaser wishes to assume certain rights and obligations of the Vendor associated with its ownership of the Shares pursuant to the Completion Documents. Each of the Purchaser and the Vendor agrees to execute, or procure that any MYL Group Company executes, any Completion Document to which it is expressed to be a party in accordance with Part C of Schedule 5.
(b) Each of the Vendor and MEFS agrees to execute, and procure that the Company acknowledges receipt of, a notice of assignment in respect of the assignment of the MY LLC Debt and the MEFS Debt in accordance with Part C of Schedule 5.
Completion Documents. 19.1 Simultaneously with the transfer of the Properties to the Buyers the Sellers shall:
(a) assign (or procure the assignment) to the relevant Buyers of the benefit of the warranties and other construction documents listed in the Schedules to the deeds of assignment annexed at Appendix 5; and
(b) procure the issue of the Letter;
(c) provide duly executed and dated forms DS1 in respect of any registered charges against the Properties in the forms annexed at Appendix 14; and
(d) provide a Licence to Assign, duly executed by the Second Seller.
19.2 In respect of each of the Properties, the Sellers shall provide to the relevant Buyer on Actual Completion a rent authority letter in respect of each of the Leases in the form attached at Appendix 6, with such changes as may be agreed between the parties (all parties acting reasonably).
19.3 On completion, each Buyer is to procure a signed legal opinion letter in favour of the Sellers in substantially the form attached at Appendix 7.
19.4 The First Buyer shall provide to the Sellers signed Deeds of Covenant two working days prior to the Completion Date.
19.5 On completion, the Sellers shall date the Deeds of Covenant and shall procure that the Certificates are provided to the First Buyer.
19.6 None of the parties shall be obliged to complete the sales and purchases agreed in this Agreement unless simultaneously they each comply with their obligations in Clause 19.1, Clause 19.2 to Clause 19.4 (inclusive).
Completion Documents. Consultant shall receive and review maintenance and operation instructions, schedules, guarantees, bonds and certificates of inspection, tests and approvals which are to be assembled by Contractor(s) in accordance with the Contract Documents (but such review will only be to determine that their content complies with the requirements of, and in the case of certificates, tests and approvals the results certified indicate compliance with, the Contract Documents); and shall transmit them to Agency with written comments.
Completion Documents. The Vendor wishes to transfer and the Purchaser wishes to assume certain rights and obligations of the Vendor associated with its ownership of the Shares pursuant to the Completion Documents. Each of the Purchaser and the Vendor agrees to execute, or procure that any MYL Group Company executes, any Completion Document to which it is expressed to be a party in accordance with Part C of Schedule 5.
Completion Documents. The Seller shall have received each of the Completion Documents to be delivered by the Purchaser at or prior to the Completion.
Completion Documents. (A) At completion, UME must give to one or more of CIC, Stel and or CICC (as applicable) the following documents:
a. The executed Debenture and Pledge Agreement.
b. Release in a form satisfactory to CIC and UME from SBL in respect of any and all liabilities of CIC, MSG, Stel, CICC and other subsidiaries of CICC (save and except the Group), from all MSG obligations including indebtedness, hedge book obligations and guarantees (the "RELEASE").
c. Certified copy of the resolution of the UME board approving the issuance of the Debenture.
(B) At completion, CIC must give UME the following documents:
a. share certificates for the Shares;
b. completed transfers of the Shares to UME or its nominee, executed by the transferor and in a form suitable for registration;
c. the certificate of incorporation, common seal, all statutory, minute and other record books, share certificate books of each member of the Group and all unused share certificate forms;
d. all ledgers, journals and books of account of each member of the Group;
e. the written resignations of:
i. all directors of each member of the Group; and ii. the secretary of each member of the Group.
Completion Documents. (a) On or before the Closing Date:
(i) Project Co shall deliver to the Province the documents referred to in Section 1 of Schedule 2 – Completion Documents; and
(ii) the Province shall deliver to Project Co the documents referred to in Section 2 of Schedule 2 – Completion Documents.
