Common use of Completion of Satisfactory Due Diligence Clause in Contracts

Completion of Satisfactory Due Diligence. As of the Closing, the Purchaser shall have completed its review of the Seller’ customers and material vendors, including making such customer inquiries, as it deems reasonably necessary, in each case with the results of such review being to Purchaser’s reasonable satisfaction. As of the Closing the Purchaser shall have completed its review of environmental matters with respect to the Seller and shall be reasonably satisfied with the results thereof.

As of the Closing, the Purchaser shall have completed its review of the SellerSellers’ customers and material vendors, including making such customer inquiries, as it deems reasonably necessary, in each case with the results of such review being to Purchaser’s reasonable satisfaction. As of the Closing, the Purchaser shall have completed its review of the Seller’ customers legal, operational and material vendorsfinancial due diligence and its verification of Seller’s cash flows, including making such Contracts, customer inquiries, vendor inquiries, employment and other matters as it Purchaser deems reasonably necessary, in each case with the results of such review being to Purchaser’s reasonable satisfaction. As of the Closing the Closing, Purchaser shall have completed its review of environmental matters with respect to the Seller and shall be reasonably satisfied with the results thereof.
