Completion of the Arrangement Clause Samples

Completion of the Arrangement. To the knowledge of the Company, no event has occurred or condition exists which will prevent the Arrangement from being completed prior to the Escrow Release Deadline.

Completion of the Arrangement. 1. UNDP shall notify the Donor when all activities relating to the Project have been completed in accordance with the Project Document describing PISTA (the Platform for Investment Support and Technical Assistance) and its BCW (Bilateral Cooperation Window). 2. Notwithstanding the completion of the Project, UNDP shall continue to hold unutilized funds from the Contribution until all commitments and liabilities incurred in implementation of the Project have been satisfied and Project activities brought to an orderly conclusion. 3. If the unutilized funds prove insufficient to meet such commitments and liabilities, UNDP shall notify the Donor and consult with the Donor on the manner in which such commitments and liabilities may be satisfied. 4. In cases where the Project is completed in accordance with the project document any funds below 5,000 USD (five thousand US Dollars) that remain unexpended after all commitments and liabilities have been satisfied shall be automatically reallocated by UNDP. Any funds above 5,000 USD (five thousand US Dollars) that remain unexpended after all commitments and liabilities have been satisfied shall be reallocated by UNDP after consultation with the Donor.

Completion of the Arrangement is subject to a number of conditions, including but not limited to, Exchange acceptance and if applicable, disinterested shareholder approval. Where applicable, the Arrangement cannot close until the required shareholder approval is obtained. There can be no assurance that the Arrangement will be completed as proposed or at all.

Completion of the Arrangement. 1. UNDP will notify the Donor when all activities relating to the project have been completed. The expected completion date for the project is 30 June 2020. 2. Upon completion of the project, any unutilised payments and portions of the Contribution will be returned to the Donor except for such funds irrevocably committed in good faith before the date of completion and such funds that the Donor determines, in consultation with UNDP, are required to reasonably complete the project activities under the Arrangement.

Completion of the Arrangement. 1. On operational completion of the Project or termination of the Arrangement, the Contribution will remain open until all expenditures incurred by CIHEAM Bari have been satisfied and project activities on going brought to an orderly conclusion. Any balance due to CIHEAM Bari under Article II will be charged by CIHEAM Bari to the Contribution and any additional regular expenses may be undertaken only with the written approval from the Donor. The initiative may be refunded upon request of CIHEAM Bari and according to available Donor’s financial annual forecasts and planning. In case of refunding, the Arrangement will be emended in accordance with Articles II. 3 and XVII. 2. Upon submission of the final financial report in accordance with Article VI, any surplus remaining in the Contribution will be returned to the Donor or disposed of as requested by the Donor. 3. Temporal extensions to the Project are possible, if necessary for the successful implementation of the activities. 4. CIHEAM will notify the Donor when all activities relating to the contribution have been completed.

Notwithstanding the completion of the Project, UNICEF will continue to hold unutilized funds from the Contribution until all commitments and liabilities incurred in implementation of the Project have been satisfied and Project activities brought to an orderly conclusion. 3. The Parties may agree to no cost extensions for Project implementation, at the request of UNICEF. Such requests shall be considered taking into account all relevant circumstances.
