Common use of Compliance; Accuracy of Representations Clause in Contracts

Compliance; Accuracy of Representations. Seller shall not be in material breach of any of Seller's covenants, agreements, and conditions required by this Agreement to be performed, satisfied, or complied with by it on or before the Closing, and all representations and warranties of Seller in this Agreement or in any certificate, document, instrument or writing delivered to Buyer by or on behalf of Seller under this Agreement shall be true and correct on and as of the Closing Date with the same force and effect as though they had been made on the Closing Date.
