Common use of Compliance and Agreement Clause in Contracts

Compliance and Agreement. The Borrower shall comply, and shall cause each ACS Ireland Subsidiary to comply, with the provisions of the Related Documents. The Borrower shall ensure that title to each Aircraft shall be held in a special purpose bankruptcy remote entity whose constitutional documents contain restrictions similar to the restrictions (including, but not limited to, the provisions regarding limited purpose, maintaining separateness from other entities and bankruptcy remoteness) contained in the constitutional documents of the ACS Group Subsidiaries existing on the Initial Closing Date. The constitutional documents of the ACS Group Subsidiaries shall contain provisions requiring the ACS Group Subsidiaries to comply with the provisions of the Related Documents and any amendment to such provision shall be subject to the prior written consent of the Facility Agent.
