Compliance by Affiliates. Licensee agrees that Licensee shall be responsible for ensuring and guaranteeing compliance by all Affiliates of Licensee with all of the terms, conditions and provisions of this Agreement. Licensee represents and warrants to Licensor that Licensee has the power and authority to cause all such Affiliates to comply with all such terms, conditions and provisions, and acknowledges that such compliance shall be a condition to the lawful exercise by any of Licensee’s Affiliates of any of the rights granted in this Agreement to Licensee.
