Common use of Compliance by Buyer Clause in Contracts

Compliance by Buyer. All of the terms, covenants and conditions of this Agreement to be complied with and performed by Buyer at or prior to the Closing shall have been complied with and performed in all material respects, and the representations and warranties made by Buyer in this Agreement shall be correct in all material respects at and as of the Closing, with the same force and effect as though such representations and warranties had been made at the Closing, except for changes contemplated by this Agreement.

Compliance by Buyer. All of the terms, covenants and conditions of this Agreement to be complied with and performed by Buyer at or prior to the Closing shall have been complied with and performed in all material respects, and the representations and warranties made by Buyer in this Agreement shall be correct in all material respects at and as of the Closing, with the same force and effect as though such representations and warranties had been made at the Closing, except for changes contemplated by this Agreement.

Compliance by Buyer. All of the terms, covenants and conditions of this Agreement to be complied with and performed by Buyer at on or prior to the Closing Date shall have been complied with and performed in all material respects, and the representations and warranties made by Buyer in this Agreement shall be correct it in all material respects other than in relation to Section 2.5 (a) which shall be complied with and performed by Buyer at and as of the Closing, with the same force and effect as though such representations and warranties had been made at the Closing, except for changes contemplated by this Agreement.

Compliance by Buyer. All of the terms, covenants and conditions of this Agreement required to be complied with and performed satisfied by Buyer at or prior to the Closing shall Date will have been duly complied with and performed in all material respectssatisfied, and the representations and warranties made by Buyer in this Agreement shall will be true and correct in all material respects at and as of the ClosingClosing Date, except for those specifically relating to a time or times other than the Closing Date (which will be true and correct in all material respects at such time or times) and except for changes permitted by this Agreement, with the same force and effect as though such representations and warranties had been if made at and as of the Closing, except for changes contemplated by this AgreementClosing Date.
