Compliance by Manager. Manager will use prudent business judgement in Operating the Hotel in compliance with Legal Requirements and the requirements of any insurance companies covering any of the risks against which the Hotel is insured. If the cost of compliance exceeds $25,000 (subject to an annual increase of five percent) in any instance, Manager will promptly notify Owner.
