Together with each delivery of the consolidated financial statements of the Borrower and the Subsidiaries pursuant to Section 5.1(a) or 5.1(b), a completed Compliance Certificate (which shall include a computation of the Fixed Charge Coverage Ratio for the Test Period ended as of the date of such financial statements in reasonable detail satisfactory to the Administrative Agent (without regard to whether the Financial Performance Covenant is then applicable)) executed by a Financial Officer of the Borrower and, if any Subsidiary shall be an Unrestricted Subsidiary, with respect to each such financial statement an Unrestricted Subsidiary Reconciliation Statement (which may be in a footnote form), which shall be accompanied by a Financial Officer Certification;
