Common use of Compliance Certificates Clause in Contracts

Compliance Certificates. The Company shall deliver to the Trustee, within 90 days after the end of each fiscal year of the Company (beginning with the fiscal year ending December 31, 2001), an Officers' Certificate as to the signers' knowledge of the Company's compliance with all conditions and covenants on its part contained in this Indenture and stating whether or not the signers know of any Default or Event of Default. If such signers know of such a Default or Event of Default, the Officers' Certificate shall describe the Default or Event of Default and the efforts to remedy the same. For the purposes of this Section 6.3, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture.

Compliance Certificates. The Company shall deliver to the Trustee, within 90 one hundred twenty (120) days after the end of each fiscal year of the Company (beginning with the fiscal year ending December October 31, 20012007), an Officers' Officer’s Certificate as to the signers' signer’s knowledge of the Company's ’s compliance with all conditions and covenants on its part contained in this Indenture and stating whether or not the signers know signer knows of any Default or Event of Default. If such signers know signer knows of such a Default or Event of Default, the Officers' Officer’s Certificate shall describe the Default or Event of Default and the efforts to remedy the same. For the purposes of this Section 6.35.03, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture. Such certificates need not comply with Section 12.04 of this Indenture.

For the purposes of this Section 6.36.4, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture. The Officers' Certificate need not comply with Section 12.4 hereof.

For the purposes of this Section 6.37.4, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture.

If such signers know signer knows of such a Default or Event of Default, the Officers' ’ Certificate shall describe the Default or Event of Default and the efforts to remedy the same. For the purposes of this Section 6.35.03, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Supplemental Indenture.

If such signers know signer knows of such a Default or Event of Default, the Officers' Officer’s Certificate shall describe the Default or Event of Default and the efforts to remedy the same. For the purposes of this Section 6.35.04, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture.

The Company shall deliver to the Trustee, within 90 120 days after the end of each fiscal year of the Company (beginning with the fiscal year ending December 31, 20012006), an Officers' ’ Certificate as to the signers' signer’s knowledge of the Company's ’s compliance with all conditions and covenants on its part contained in this Indenture and stating whether or not the signers know signer knows of any Default or Event of Default. If such signers know signer knows of such a Default or Event of Default, the Officers' ’ Certificate shall describe the Default or Event of Default and the efforts made to remedy the same. For the purposes of this Section 6.35.03, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture.

Compliance Certificates. The Company shall deliver to the Trustee, within 90 days after the end of each fiscal year of the Company (beginning with the fiscal year ending December 31, 20012019), an Officers' ’ Certificate as to the signers' signer’s knowledge of the Company's ’s compliance with all conditions and covenants on its their part contained in this Indenture and stating whether or not the signers know signer knows of any Default or Event of Default. If such signers know signer knows of such a Default or Event of Default, the Officers' ’ Certificate shall describe the Default or Event of Default and the efforts to remedy the same. For the purposes of this Section 6.34.4, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture.

If such signers know signer knows of such a Default or Event of Default, the Officers' Certificate shall describe the Default or Event of Default and the efforts to remedy the same. For the purposes of this Section 6.36.03, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture.

For the purposes of this Section 6.36.03, compliance shall be determined without regard to any grace period or requirement of notice provided pursuant to the terms of this Indenture.
