Compliance Laws Clause Samples

Compliance Laws. The following is added to section 2.10 of the Standard Terms and Conditions:

Compliance Laws. The Company shall procure that its operations and those of the other Group Companies shall at all times be conducted in compliance with applicable Anti-Corruption Laws, Sanctions and Anti-Money Laundering Laws (together, the “Business Conduct Laws”).

Compliance Laws. Compliance with the terms of this Consent Agreement does not relieve the Respondent of any obligation to comply with other applicable laws or regulations administered by or through the Department or any other governmental agency.

Compliance Laws. 8.1. Each party shall: 8.1.1. comply at all times with Compliance Laws and warrants and represents on a continuing basis to the other party that neither it nor any of its employees, agents and subcontractors have breached and/or committed an offence under Compliance Laws and is not aware of any event which may give rise to a breach of Compliance Laws or an offence under Compliance Laws or an investigation into a breach of Compliance Laws;‌ 8.1.2. not do or omit to do anything which may place the other party in breach of the Compliance Laws; 8.1.3. have in place appropriate policies and procedures to avoid an offence under Compliance Laws or a breach of Compliance Laws and provide the other party with evidence of such policies and procedures upon request along with any records it maintains to demonstrate compliance with the Compliance Laws; 8.1.4. notify the other party immediately of any breach or non-compliance with Compliance Laws; and 8.1.5. comply with its own policies and procedures regarding Compliance Laws.‌

Compliance Laws. The Vendor {Contractor} must comply with all local, State and Federal laws, rules and regulationsapplicable to this PPAand to the goods delivered and/or services performed hereunder.

Compliance Laws. PBS has at all times, to the best of PBS’ knowledge, owned and operated the business, and otherwise carried on and conducted its business, in material compliance with all federal, foreign, state and local laws, ordinances, rules and regulations (including, but not limited to, all laws, ordinances, rules and regulations relating to health, safety and labeling of products; health and safety; equal employment opportunities; environmental, wages and hours of employment; pricing; and sales and distribution of products). To the best of PBS’ knowledge, PBS has not violated any copyright or trademark.

Compliance Laws. All Compliance related laws, regulations and requirements to include Safety Laws, Environmental Laws, Stormwater Laws and Worker Verification Laws.

With respect to the deliverables required under Paragraph 12, Respondent has informed the Department that while it has made sufficient progress with construction of its facility to obtain a Temporary Certificate of Occupancy for parts of its facility, it could not obtain a full Certificate of Occupancy within the timeframe articulated in the Consent Agreement. Accordingly, Respondent has requested an extension of the deadline to satisfy and deliver the same until June 15, 2021.

Compliance Laws. The Corporation is not in violation of any federal, provincial, municipal or other law, regulation or order of any government or governmental or regulatory authority, domestic or foreign, including, without limitation, any law, regulation or order relating to [specific area of regulation applicable to the Corporation].
