Compliance Related Matters. Hospital, Towns, and WWALS agree and certify that this Agreement is not intended to generate referrals for services and supplies for which payment may be made in whole or in part under any federally funded health care program, included but not limited to, Medicare and Medicaid. Hospital, Towns, and XXXXX will comply with statutes, laws, rules, and regulations as promulgated by federal and state regulatory agencies or legislative authorities having jurisdiction over the parties. The Town(s) and WWALS shall indemnify and hold harmless Hospital against all actions, claims, demands and liabilities, and against all loss, damage, costs and expenses, including reasonable attorneys' fees, arising directly or indirectly, out of any violation of this Section by the Town(s) and/or WWALS, except to the extent any such loss, damage, costs and expenses were caused by the negligent or intentional act or omission of Hospital, and/or its officers, employees, or agents.
