Common use of Compliance Notice Clause in Contracts

Compliance Notice. Concurrent with the filing of PHH Corporation’s Quarterly Report on Form 10-Q or Annual Report on Form 10-K with the U.S. Securities and Exchange Commission, PHH shall send a notice to Xxxxxx Xxx to xxx-xxx_xxx@xxxxxxxxx.xxx and xxxxx_xxxxxxx@xxxxxxxxx.xxx confirming compliance with the triggers set forth in Sections 5(ix), 5(x), 5(xi), and 5(xii) of this Agreement as of the end of the relevant quarterly or annual period, and setting forth, in reasonable detail, the computations and information used to determine such compliance.

Concurrent with the filing of PHH Corporation’s Quarterly Report on Form 10-Q or Annual Report on Form 10-K with the U.S. Securities and Exchange Commission, PHH shall send a notice written, signed certificate to Xxxxxx Xxx to xxx-xxx_xxx@xxxxxxxxx.xxx and xxxxx_xxxxxxx@xxxxxxxxx.xxx confirming certifying compliance with the triggers set forth in Sections 5(ix), 5(x), 5(xi), and 5(xii) of this Agreement as of the end of the relevant quarterly or annual period, and setting forth, in reasonable detail, the computations and information used to determine such compliance. The written certificate shall be signed by the Treasurer, Chief Financial Officer, or other senior financial officer at PHH.
