Compliance of Agreement with Laws, etc. Subject to execution of -------------------------------------- that certain Preferred Stock and Warrant Agreement by and among the Debtor, the Secured Party, Vaxcel, Inc., and the holders of the outstanding shares of the Debtor's Series A Convertible Preferred Stock, the execution, delivery and performance of this Agreement by the Debtor in accordance with its terms, including the granting of the Security Interest, do not and will not, by the passage of time, the giving of notice or otherwise (i) conflict with, result in a breach of or constitute a default under any indenture, instrument or other agreement to which the Debtor is a party or by which it or any of its properties may be bound or (ii) result in, or require the creation or imposition of, any Lien upon or with respect to any property in which the Debtor now or may hereafter have rights.
