COMPLIANCE WITH AGREEMENTS; COMPLIANCE WITH LAWS. To comply with the terms and conditions of all material agreements, commitments or instruments to which the Shareholder or the Seller are a party or by which they may be bound. The Shareholder and the Seller shall duly comply in all material respects with any material laws, ordinances, rules and regulations of any federal, state or local government or any agency thereof, or any writ, order or decree, and conform to all valid requirements of governmental authorities relating to the conduct of its business, properties and assets. The Seller also covenants to file all tax returns as they become due prior to the Closing.
