Common use of COMPLIANCE WITH AGREEMENTS; COMPLIANCE WITH LAWS Clause in Contracts

COMPLIANCE WITH AGREEMENTS; COMPLIANCE WITH LAWS. The Borrower and each of the Guarantors shall comply in all material respects with the terms and conditions of all material agreements, commitments or instruments to which they are a party or by which they may be bound, including, without limitation, the Merger Agreement. The Borrower and each of the Guarantors shall also enforce all of its material rights under any material agreements, commitments or instruments to which they are a party or by which they may be bound. The Borrower and each of the Guarantors shall duly comply with any Legal Requirements relating to the conduct of its businesses, properties or assets, in each case except for any such noncompliance that would not reasonably be expected to have a Material Adverse Effect.
