Compliance with Anti-Corruption Laws and Sanctions Laws. (A) Maintain policies and procedures reasonably designed to ensure compliance by the Borrower, the Subsidiaries, and their respective directors, officers, employees, and agents with the Anti-Corruption Laws and (B) within 90 days of the Closing Date (or such later date as may be agreed to by Administrative Agent in its sole discretion) and thereafter maintain policies and procedures reasonably designed to ensure compliance by the Borrower, the Subsidiaries, and their respective directors, officers, employees, and agents with Sanctions Laws.
