Compliance with Applicable Law and Corporate Documents. The execution and delivery by the Sellers of this Agreement does not and will not, and the sale by the Sellers of the Shares and the consummation of the other transactions contemplated by this Agreement does not and will not contravene or constitute a default under or violation of (i) any provision of applicable law or regulation, (ii) the articles of incorporation or by-laws of the Company or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Sellers or the Company's assets, or result in the creation or imposition of any lien on any asset of the Company.

The execution and delivery by the Sellers Seller and the Company of this Agreement does not and will not, and the sale by the Sellers Seller of the Shares and the consummation of the other transactions contemplated by this Agreement does not and will not contravene or constitute a default under or violation of (i) any provision of applicable law or regulation, (ii) the articles of incorporation or by-laws of the Company or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Sellers Seller or any of her or the Company's assets, or result in the creation or imposition of any lien on any asset of the CompanySeller.

The execution and delivery by the Sellers and the Company of this Agreement does not and will not, and the sale by the Sellers of the Shares Membership Interests and the consummation of the other transactions contemplated by this Agreement does not and will not contravene or constitute a default under or violation of (i) any provision of applicable law or regulation, (ii) the articles certificate of incorporation formation or by-laws limited liability company agreement of the Company or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Sellers or the Company's ’s assets, or result in the creation or imposition of any lien on any asset of the CompanySellers.

The execution and delivery by the Sellers such Seller of this Agreement does not and will not, and the sale by the Sellers such Seller of the Shares its respective Membership Interests and the consummation of the other transactions contemplated by this Agreement does not and will not contravene or constitute a default under or violation of (i) any provision of applicable law or regulation, (ii) the articles certificate of incorporation formation or by-laws limited liability company agreement of the Company or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Sellers such Seller or the Company's ’s assets, or result in the creation or imposition of any lien on any asset of the Companyany Seller.

The execution and delivery by the Sellers Shareholder(s) and the Company of this Agreement does not and will not, and the sale by the Sellers Shareholder(s) of the Shares and the consummation of the other transactions contemplated by this Agreement does not and will not contravene or constitute a default under or violation of (i) any provision of applicable law or regulation, (ii) the articles of incorporation or by-laws of the Company or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Sellers Shareholder(s) or the Company's assets, or result in the creation or imposition of any lien on any asset of the CompanyShareholder(s).

The execution and delivery by the Sellers Seller and the Company of this Agreement does not and will not, and the sale by the Sellers Seller of the Shares and the consummation of the other transactions contemplated by this Agreement does not and will not contravene or constitute a default under or violation of (or constitute an event which might, upon passage of time or giving of notice, constitute a default under or violation of) (i) any provision of applicable law or regulation, (ii) the articles of incorporation or by-laws or any other governing document of the Company or (iii) any agreement, judgment, injunction, order, decree or other instrument binding upon the Sellers Seller or any of her or the Company's assets, or result in the creation or imposition of any lien on any asset of the CompanySeller.
