Common use of Compliance with Applicable Laws; Maintenance of Governmental Approvals Clause in Contracts

Compliance with Applicable Laws; Maintenance of Governmental Approvals. (i) The Company shall (and shall cause each Group Company to) comply at all times in all material respects with all Applicable Laws applicable to the Company or any Group Company. (ii) The Company shall, and shall cause each Group Company, as applicable, to: (1) keep in full force and effect all such Govern- mental Approvals and Consents, that may be required for: (a) the carrying on of its business and the business of each Group Company, in each case as it is presently carried on and is contemplated to be carried on, and (b) the exercise by any Shareholders of its rights and remedies under any of such agreements to which it is a party. (2) obtain any other Governmental Approvals and Consents required to be obtained, as soon as such Governmental Approvals and Consents become necessary.
