Common use of Compliance with Blue Sky Laws Clause in Contracts

Compliance with Blue Sky Laws. The Company shall cooperate with the Agents and counsel therefor in connection with the registration or qualification (or the obtaining of exemptions therefrom) of the Shares for the offering and sale under the securities or blue sky laws of such jurisdictions in the United States as the Agents may request, and to continue such registration or qualification in effect so long as necessary under such laws for the distribution of the Shares; provided, however, that in no event shall the Company be obligated to qualify to do business in any jurisdiction where it is not now so qualified or to take any action which would subject it to general service of process in any jurisdiction where it is not now so subject (except service of process with respect to the offering and sale of the Shares).

The Company shall cooperate with the Sales Agents and counsel therefor in connection with the registration or qualification (or the obtaining of exemptions therefrom) of the Shares Placement Securities for the offering and sale under the securities or blue sky Blue Sky laws of such jurisdictions in the United States as the Sales Agents may request, including, without limitation, the provinces and territories of Canada and other jurisdictions outside the United States, and to continue such registration or qualification in effect so long as necessary under such laws for the distribution of the SharesPlacement Securities; provided, however, that in no event shall the Company be obligated to qualify to do business in any jurisdiction where it is not now so qualified or to take any action which would subject it to general service of process in any jurisdiction where it is not now so subject (except service of process with respect to the offering and sale of the SharesPlacement Securities).

The Company Partnership shall cooperate with the Agents Managers and counsel therefor in connection with the registration or qualification (or the obtaining of exemptions therefrom) of the Shares Units for the offering and sale under the securities or blue sky Blue Sky laws of such jurisdictions in the United States as the Agents Managers may request, reasonably request and to continue such registration or qualification in effect so long as necessary under such laws for the distribution of the SharesUnits; provided, however, that in no event shall the Company Partnership be obligated to qualify to do business in any jurisdiction where it is not now so qualified or to take any action which would subject it to general service of process in any jurisdiction where it is not now so subject (except service of process with respect to the offering and sale of the SharesUnits).
