Common use of Compliance with Bulk Sales Laws Clause in Contracts

Compliance with Bulk Sales Laws. The parties hereby waive compliance by the parties with the bulk sales or bulk transfer laws and any other similar Laws in any applicable jurisdiction in respect of the transactions contemplated by this Agreement or the Transaction Agreements. Seller will, without regard to the Threshold Amount limitations set forth in Article 7, indemnify Buyer Indemnified Parties from, and hold them harmless against, any damages relating from or arising out of the parties’ failure to comply with any of such laws in respect of the transactions contemplated by this Agreement or the Transaction Agreements.
