Common use of Compliance with Constating Documents, Agreements and Laws Clause in Contracts

Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by the Optionor, and the completion of the transactions contemplated hereby, will not constitute or result in a violation, breach or default, or cause the acceleration of any obligations, under: (i) any term or provision of the constating documents of the Optionor; (ii) the terms of any indenture, agreement (written or oral), instrument or understanding or other obligation or restriction to which the Optionor is a party or by which it is bound; or (iii) any term or provision of any licenses, registrations, or qualifications of the Optionor or any order of any court, governmental authority or regulatory body or any applicable law or regulation of any jurisdiction.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by the OptionorPurchaser, and the completion of the transactions contemplated hereby, will not constitute or result in a violation, violation or breach of or default, or cause the acceleration of any obligations, default under: (i) any term or provision of any of the articles, by-laws or other constating documents of the OptionorPurchaser; (ii) the terms of any indenture, agreement (written or oral), instrument or understanding or other obligation or restriction to which the Optionor Purchaser is a party or by which it is bound; , or (iii) any term or provision of any licenseslicences, registrations, registrations or qualifications qualification of the Optionor Purchaser or any order of any court, governmental authority or regulatory body or any applicable law or regulation of any jurisdiction.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by the OptionorPurchaser and the Parent , and the completion of the transactions contemplated hereby, will not constitute or result in a violation, violation or breach of or default, or cause the acceleration of any obligations, default under: (i) any term or provision of any of the articles, by-laws or other constating documents of the OptionorPurchaser; (ii) the terms of any indenture, agreement (written or oral), instrument or understanding or other obligation or restriction to which the Optionor is Purchaser and the Parent are a party or by which it is bound; , or (iii) any term or provision of any licenseslicences, registrations, registrations or qualifications qualification of the Optionor Purchaser or the Parent, or any order of any court, governmental authority or regulatory body or any applicable law or regulation of any jurisdiction.
