Common use of Compliance with Constating Documents, Agreements and Laws Clause in Contracts

Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by the Vendor, and the completion of the transactions contemplated hereby, will not constitute or result in a violation, breach or default under: (i) any term or provision of any of the articles, by-laws or other constating documents of the Vendor, or (ii) the terms of any indenture, agreement (written or oral), instrument or understanding or other obligation or restriction to which the Vendor is a party or by which it is bound; or (iii) any term or provision of any licenses or any order of any court, governmental authority or regulatory body or any law or regulation of any jurisdiction in which the Vendor carries on business.

The execution, delivery and performance of this Agreement, the Escrow Agreement and each of the other agreements or instruments contemplated or referred to herein or therein by the VendorPurchaser, and the completion of the transactions contemplated herebyhereby and thereby, will not constitute or result in a violation, violation or breach of or default under: (i) any term or provision of any of the articles, by-laws or other constating documents of the Vendor, orPurchaser; (ii) the terms of any indenture, agreement (written or oral), instrument or understanding or other obligation or restriction Contract to which the Vendor Purchaser is a party or by which it is bound; or (iii) any term or provision of any licenses License or Authorization of the Purchaser or any order of any court, governmental authority or regulatory body or any law or regulation of any jurisdiction in which the Vendor carries on businessapplicable Law.
