Compliance with Covenants and Agreements. The covenants, obligations and agreements of the Purchaser to be performed and complied with on or before the Closing Date shall have been duly performed and complied with in all respects; and the Purchaser shall have delivered to the Seller a certificate signed by the general partner of the Purchaser in form and substance reasonably satisfactory to the Seller dated as of the Closing Date to such effect.
