Common use of Compliance with Covenants and Agreements Clause in Contracts

Compliance with Covenants and Agreements. The Shareholder, the Company and the Subsidiaries shall have performed and complied with all of their covenants, agreements and obligations under this Agreement and the Ancillary Documents which are to be performed or complied with by them at or prior to the Closing, including the execution and delivery of the Ancillary Documents specified in Section 2.4(b) hereof, all of which shall be reasonably satisfactory in form and substance to the Purchaser.

Compliance with Covenants and Agreements. The Shareholder, Shareholder and the Company and the Subsidiaries shall have performed and complied with all of their the covenants, agreements and obligations under this Agreement and the Ancillary Documents which are to be performed or complied with by them at or prior to the Closing, including the execution and delivery of the Ancillary Documents specified in Section 2.4(b2.5(b) hereof, all of which shall be reasonably satisfactory in form and substance to the Purchaser.
