Common use of Compliance with Covenants and Agreements Clause in Contracts

Compliance with Covenants and Agreements. The Purchaser and the Purchaser Parent shall have performed and complied in all material respects with all of their respective covenants, agreements and obligations under this Agreement which are to be performed or complied with by them at or prior to the Closing, including the execution and delivery of the documents, instruments and agreements specified in Section 2.3(c) hereof or in such documents, instruments and agreements, all of which shall be reasonably satisfactory in form and substance to the Company and the Company Parent.

The Purchaser Company and the Purchaser Company Parent shall have performed and complied in all material respects with all of their respective covenants, agreements and obligations under this Agreement which are to be performed or complied with by them at or prior to the Closing, including the execution and delivery of the documents, instruments and agreements Ancillary Documents specified in Section 2.3(c2.3(b) hereof or in such other documents, instruments and agreements, all of which shall be reasonably satisfactory in form and substance to the Company Purchaser and the Company Purchaser Parent.
