Common use of Compliance with Covenants and Agreements Clause in Contracts

Compliance with Covenants and Agreements. Seller and Stockholder shall have performed and complied with all of their respective covenants, agreements and obligations under this Agreement which are to be performed or complied with by them at or prior to the Closing, including the execution and/or delivery of the documents, instruments and agreements specified in Section 4.1 hereof, or in such documents, instruments and agreements, all of which shall be reasonably satisfactory in form and substance to counsel for Purchaser.

Compliance with Covenants and Agreements. Seller and Stockholder Sellers and/or Shareholders shall have performed and complied in all material respects with all of its/his/their respective covenants, agreements and obligations under this Agreement which are to be performed or complied with by it/him/them at or prior to the Closing, including the execution and/or delivery of the documents, instruments and agreements agreement specified in Section 4.1 hereof, 12.2 hereof or in such documents, instruments and agreements, all of which shall be reasonably satisfactory in form and substance to counsel for Purchaser.
