The Corporation understands and agrees that it shall be solely responsible for ensuring that each prospectus of the Corporation complies with all applicable provisions of, or regulations adopted pursuant to, the Securities Act of 1933, as amended (the "Securities Act"), the Act, and any other laws, rules and regulations of Federal, state or foreign governmental authorities having jurisdiction in connection with the offering or sale of Shares.
