Compliance with Law and Agreements; Maintenance of Licenses. Holdings shall comply, and shall cause each of its Subsidiaries to comply, with all Requirements of Law of any Governmental Authority having jurisdiction over it or its business (including the Federal Fair Labor Standards Act, all Anti-Terrorism Laws and all Environmental Laws), except where noncompliance would not reasonably be expected to have a Material Adverse Effect. Holdings shall, and shall cause each of its Subsidiaries to, obtain and maintain all licenses, permits, franchises, and governmental authorizations necessary to own its property and to conduct its business as conducted on the Agreement Date, except where the failure to so obtain and maintain such licenses, permits, franchises, and governmental authorizations would not reasonably be expected to have a Material Adverse Effect. Neither Holdings nor any of its Subsidiaries shall modify, amend or alter any of its Charter Documents, other than in a manner which does not in any respect adversely affect the rights of the Lenders or the Agent.
