Common use of Compliance with Law and Other Agreements Clause in Contracts

Compliance with Law and Other Agreements. Borrower shall maintain its business operations and property owned or used in connection therewith in compliance with (a) all applicable federal, state and local laws, regulations and ordinances governing such business operations in the use and ownership of such property, and (b) all agreements, licenses, franchises, indentures and mortgages to which Borrower is a party or by which Borrower or any of its properties is bound, including each Franchise Agreement, the Development Agreement and the LLC Agreement.

Compliance with Law and Other Agreements. Borrower shall maintain its business operations and property owned or used in connection therewith in compliance with (a) all applicable federal, state and local laws, regulations and ordinances governing such business operations in the use and ownership of such property, and (b) all agreements, licenses, franchises, indentures and mortgages to which Borrower is a party or by which Borrower or any of its properties is bound, including each Franchise Agreement, the Development Agreement and the LLC Agreement.

Borrower shall maintain its business operations and property owned or used in connection therewith (including the Collateral) in compliance with (aA) all applicable federal, state and local laws, regulations regulations, rules, guidelines, ordinances, decrees and ordinances governing such business operations in the use and ownership of such propertyorders, including applicable Environmental Laws and (bB) all agreements, licenses, franchises, indentures indentures, deeds of trust, mortgages and mortgages other agreements to which Borrower is a party or by which Borrower or any of its properties is bound, including each Franchise Agreement, the Development Agreement and the LLC Agreement.

Without limiting the foregoing, including each Franchise Agreement, Borrower will pay all of its indebtedness promptly in accordance with the Development Agreement and the LLC Agreementterms thereof.

Without limiting the foregoing, including each Franchise Agreement, Borrower shall pay all of its indebtedness promptly in accordance with the Development Agreement and the LLC Agreementterms thereof.
