Common use of Compliance with Law; Permits and Other Operating Rights Clause in Contracts

Compliance with Law; Permits and Other Operating Rights. The assets, properties, business and operations of Issuer are and have been in compliance in all respects with all Laws applicable to Issuer’s assets, properties, business and operations, except where the failure to comply would not have a Material Adverse Effect on the business of Issuer. Issuer possesses all permits, licenses and other authorizations from all Authorities necessary to permit it to operate its business in the manner in which it presently is conducted and the consummation of the transactions contemplated by this Agreement will not prevent Issuer from being able to continue to use such permits and operating rights, except where such failure would not have a Material Adverse Effect on the business of Issuer. Issuer has not received notice of any violation of any such applicable Law, and is not in default with respect to any order, writ, judgment, award, injunction or decree of any Authority.
