Compliance with Laws and Good Business Practices. 15.1 Compliance with CARRIER Criteria, Laws and Regulations. AGENT shall secure and maintain in force all licenses and permits required by AGENT and its employees in the enrollment of Subscribers and the sale, installation and maintenance of Equipment, including without limitation all required FCC permits and certifications. AGENT shall comply with all CARRIER installation, warranty and maintenance criteria, and shall conduct its business in full compliance with all laws, ordinances and regulations applicable to AGENT's business. AGENT shall not engage in any activity which, in the judgment of CARRIER's legal counsel, would cause AGENT and/or CARRIER to be in violation of any requirement, rule, decision, law, regulation, judgment or order of any state or Federal governmental agency or court. CARRIER shall offer WRS in accordance with applicable rules, regulations, statutes and decisions governing WRS. AGENT shall maintain its business on a sound financial basis and comply with all legal obligations to CARRIER, to AGENT's employees, suppliers, lenders, lessors, and to federal, state and municipal authorities, including but not limited to tax authorities. AGENT shall maintain all real and personal property used in connection with its WRS business free of all liens and encumbrances of every kind or character which may impair or jeopardize the AGENT's conduct of its business. AGENT shall comply, at its own expense, with the provisions of all applicable municipal requirements and those state and federal laws applicable to AGENT as an employer of labor or otherwise. AGENT expressly agrees not to discriminate against any employee or applicant for employment because of race, creed, color, national origin or sex. The provisions of Executive Order No. 11246, as amended, are incorporated herein by reference. AGENT will fully comply with the provisions of the Federal Occupational Safety and Health Act of 1970 and any rules and regulations issued pursuant to such Act.

AGENT shall comply with all CARRIER installation, warranty if required, and maintenance criteriabusiness and sales tax licenses, and shall conduct its business in full compliance with all state and federal laws, ordinances and regulations applicable to AGENT's 'S business. AGENT SBMS shall not engage in any activity which, in sell or resell the judgment of CARRIER's legal counsel, would cause AGENT and/or CARRIER to be in violation of any requirement, rule, decision, law, regulation, judgment or order of any state or Federal governmental agency or court. CARRIER shall offer WRS Authorized Services in accordance with applicable rules, regulations, statutes and decisions governing WRSsuch Services. AGENT shall maintain its business on a sound financial basis promptly pay, when due, all taxes and comply with all legal obligations to CARRIER, to AGENT's employees, suppliers, lenders, lessors, and to federal, state and municipal authorities, including but not limited to tax authorities. AGENT shall maintain all assessments against any real and or personal property used in connection with its WRS business free of AGENT'S business, and all liens and or encumbrances of every kind or character which may impair created or jeopardize placed upon or against any such property, and all accounts and other indebtedness of every kind incurred by AGENT in the AGENT's conduct of its business. AGENT shall comply, at its own expense, with the provisions of all applicable municipal requirements and those state and federal laws laws, inclusive of Executive Orders applicable to AGENT as an employer of labor or otherwise. AGENT expressly agrees not to discriminate against any employee or applicant for employment because of race, creed, color, national origin or sex. The provisions of Executive Order No. 11246, as amended, are incorporated herein by referenceemployer. AGENT will fully comply with the provisions of the Federal Occupational Safety and Health Act of 1970 and with any rules and regulations issued pursuant to this Act. AGENT understands that if AGENT operates its CPE business or represents SBMS' Authorized Services in a manner that is inconsistent with or contrary to state or federal law or regulation, such Actaction will reflect adversely upon the name and goodwill of SBMS and its Affiliates. Therefore, AGENT agrees to comply, if applicable, with Part 22 of the FCC rules, and all tariffs, other governmental rules and procedures in existence relating to the sale of the Authorized Services and the sale, lease, warranty service and the conduct of AGENT'S CPE business hereunder as well as any rules and procedures relating to such matters reasonably prescribed from time to time by SBMS. AGENT shall be responsible to familiarize itself with the laws and regulations applicable to the conduct of its business.

CARRIER BCN shall offer WRS CRS in accordance with applicable rules, regulations, statutes and decisions governing WRSCRS. AGENT shall maintain its business on a sound financial basis and comply with all legal obligations to CARRIERBCN, to AGENT's employees, suppliers, lenders, lessors, and to federal, state and municipal authorities, including but not limited to tax authorities. AGENT shall maintain all real and personal property used in connection with its WRS CRS business free of all liens and encumbrances of every kind or character which may impair or jeopardize the AGENT's conduct of its business. AGENT shall comply with all CARRIER installation, warranty and maintenance criteria, and DISTRIBUTOR shall conduct its business in full compliance with all laws, ordinances and regulations applicable to AGENTDISTRIBUTOR's business. AGENT DISTRIBUTOR shall not engage in any activity which, in the reasonable judgment of CARRIER's legal counsel, would cause AGENT DISTRIBUTOR and/or CARRIER to be in violation of any requirement, rule, decision, law, regulationregulations, judgment or order of any state or Federal governmental agency or court. CARRIER shall offer WRS in accordance with applicable rules, regulations, statutes and decisions governing WRS. AGENT DISTRIBUTOR shall maintain its business on a sound financial basis and comply with all legal obligations to CARRIER, to AGENTDISTRIBUTOR's employees, suppliers, lenders, lessors, and to federal, state and municipal authorities, including but not limited to tax authorities.
