Compliance with Laws and Instruments. (a) Copies of the Certificate of Incorporation and Bylaws of the Company and each of its subsidiaries which have been delivered to (or made available for inspection by) the Purchaser prior to the execution of this Agreement, are true and complete and have not been amended or repealed. (b) The Company and each of its subsidiaries is, and their business has been operated, in compliance with their respective certificates of incorporation and bylaws and, in all material respects, all applicable laws, rules, regulations, decrees, injunctions, judgments, orders, rulings, awards, settlements and writs.
